1. Overview
These Terms of Service ("Terms") govern your use of Convora's website, software, APIs, integrations, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.
If you are using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
2. Eligibility and Accounts
You must provide accurate account information and keep it up to date.
You are responsible for:
- maintaining the security of your account credentials
- all activity that occurs under your account
- making sure your users comply with these Terms
You must notify us promptly at if you believe your account has been compromised.
3. Subscription, Billing, and Trials
Some parts of the Services may require payment. If you purchase a paid plan, you agree to pay all applicable fees, taxes, and charges.
Unless otherwise stated:
- subscriptions renew automatically until canceled
- fees are non-refundable except where required by law
- we may change pricing for future billing periods with reasonable prior notice
If a payment cannot be completed, we may suspend or limit access to paid features until the account is brought current.
4. Acceptable Use
You may not use the Services to:
- violate any law or regulation
- infringe another person's intellectual property or privacy rights
- send malware, spam, or abusive content
- interfere with the security, integrity, or availability of the Services
- attempt unauthorized access to systems, accounts, or data
- use the Services to generate or send harmful, deceptive, or fraudulent communications
You are responsible for the content, instructions, automations, and external integrations you configure through Convora.
5. AI and Automation Features
Convora may provide AI-generated outputs, workflow suggestions, or automated actions. You remain responsible for reviewing whether these outputs and actions are appropriate for your business, customers, and compliance obligations.
You must not rely on the Services as your sole method of legal, accounting, tax, privacy, security, or regulatory compliance review.
6. Third-Party Services
The Services may interoperate with third-party platforms such as Shopify, WhatsApp, TikTok Shop, Facebook Marketplace, payment providers, analytics providers, and other external tools.
Your use of those third-party services is governed by your agreements with them. We are not responsible for third-party services, including their availability, security, data handling, or changes to their APIs and policies.
7. Customer Data
As between you and Convora, you retain your rights in the data, content, product information, customer messages, and other materials you submit to the Services ("Customer Data").
You grant Convora a limited right to host, process, transmit, and use Customer Data as necessary to:
- provide and secure the Services
- support requested integrations and workflows
- prevent abuse and troubleshoot operational issues
- comply with law
You represent that you have all rights and permissions needed to provide Customer Data to us and to instruct us to process it.
8. Intellectual Property
Convora and its licensors own the Services, including the software, models, interfaces, branding, and related intellectual property, except for Customer Data.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during your subscription term and in accordance with your plan.
9. Feedback
If you provide suggestions, ideas, or feedback about the Services, we may use them without restriction or obligation to you.
10. Suspension and Termination
We may suspend or terminate access to the Services if:
- you materially breach these Terms
- your use creates security, legal, or operational risk
- we are required to do so by law or a third-party provider
You may stop using the Services at any time. Upon termination, your right to use the Services ends immediately, but provisions that by their nature should survive termination will survive.
11. Service Changes
We may update, modify, or discontinue features from time to time. We will try to provide reasonable notice for material adverse changes when practicable.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVORA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, secure, or suitable for every workflow or compliance requirement.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVORA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVORA'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO CONVORA FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to defend, indemnify, and hold harmless Convora and its affiliates, officers, employees, agents, suppliers, and licensors from and against claims, liabilities, damages, judgments, losses, and expenses arising out of or related to:
- your use of the Services
- your Customer Data
- your violation of these Terms
- your violation of applicable law or third-party rights
15. Governing Law
These Terms are governed by the laws applicable in the jurisdiction identified in your order form or other written agreement with Convora. If no separate written agreement applies, the governing law and forum will be determined by Convora's principal place of business unless otherwise required by law.
16. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will update the "Last updated" date above and may provide additional notice where appropriate. Your continued use of the Services after the updated Terms take effect means you accept them.
